Term and Conditions of Use and License Agreement

Introduction

This Terms of Use and License Agreement (“Agreement”) is entered into between you (the “User,” “Client,” or “Licensee”) and Fin2Dev (“we,” “our,” or “Fin2Dev”). This Agreement sets the rules for your access to and utilization of Fin2Dev’s financial data services, which include but are not limited to our website, APIs, downloadable datasets, and any other related products or services (collectively, the “Services”).

By registering for, accessing, or using our Services, you confirm that you have read, understood, and agreed to comply with this Agreement as well as our Privacy Policy. If you do not agree with these terms, you must not use our Services.

Description of Services

  • API Subscriptions – Fin2Dev provides financial data via API access. Subscriptions are purchased through our website. After successful payment, you will be issued an API key valid for the period of your active subscription.
  • Standalone Data Packages – Fin2Dev also offers downloadable financial datasets available for one-time purchase. Unless otherwise specified, these licenses provide indefinite access.
  • Intellectual Property – Purchasing or subscribing to our Services does not transfer any ownership rights. All intellectual property in the data, APIs, software, and documentation remains the exclusive property of Fin2Dev.

License Grant and Usage Scope

Fin2Dev grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Services for your internal business purposes or to integrate them into your commercial solutions, provided such use complies with this Agreement.

Permitted Uses:

  • Access and use the APIs while your subscription is active;
  • Process, visualize, and store the data internally or within your own product/service for end-user interaction;
  • Incorporate the data into commercial products, provided that the raw data is not made publicly available.

Prohibited Uses:

You agree not to:

  • Resell, sublicense, lease, publish, mirror, or otherwise redistribute the APIs or datasets;
  • Use the Services to develop or support a competing data platform;
  • Provide or simulate investment advice, trading signals, or financial products using our data;
  • Display or distribute raw financial data in public-facing systems;
  • Reverse-engineer, decompile, or attempt to derive the source code of the APIs;
  • Evade or bypass API usage limits or security protections;
  • Retain or continue to use data after your subscription has expired or this Agreement has been terminated.

Any violation of the above restrictions constitutes a material breach of this Agreement and may result in immediate suspension or termination of your access, without refund or further liability on the part of Fin2Dev.

Data Disclaimer

The data provided by Fin2Dev is offered “as is.” Fin2Dev does not warrant the accuracy, timeliness, completeness, or reliability of any data. The data is intended solely as a raw informational input for technical use and should not be relied upon for investment, trading, or legal decisions.

You understand and agree that:

  • Fin2Dev is not a financial institution, investment advisor, or licensed broker-dealer;
  • The Services do not provide personalized financial advice, investment recommendations, or trading strategies;
  • You and your end-users must seek independent financial, tax, legal, or investment advice before making decisions;
  • You are solely responsible for evaluating and validating the data prior to any financial analysis or decisions.

Limitation of Liability

Under no circumstances shall Fin2Dev or its affiliates, suppliers, officers, directors, employees, or agents be liable for:

  • Loss of profits, investment losses, lost revenue, lost data, or loss of goodwill;
  • Business interruption, opportunity loss, or reputational damage;
  • Any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Services or reliance on the data;
  • Errors, inaccuracies, omissions, delays, or disruptions in the Services.

In any case, Fin2Dev aggregate liability to you under this Agreement for any claim shall be limited to the amount paid by you in the month preceding the claim.

You use the Services at your own risk. Fin2Dev disclaims any liability resulting from your reliance on the data or the suitability of the Services for any specific purpose.

Security and Unauthorized Access

Your API key is for your exclusive use. You must take all reasonable steps to prevent unauthorized use, distribution, or disclosure.

You are liable for any damages resulting from third-party use of your API key, whether authorized by you or not.

Subscription and Pricing

All details regarding current subscription plans, their pricing, and available features are published on our Website. Fin2Dev reserves the right to adjust pricing or features at its discretion. If your active subscription price changes, you will be notified in advance.

Subscriptions renew automatically on a 30-day cycle unless canceled. You may cancel your plan either through your account dashboard or by submitting a written cancellation request via email no later than 7 days before the next billing date.

All subscription fees are final and non-refundable. If you fail to cancel or downgrade your subscription on time, renewal charges will still apply. You acknowledge and agree that the Services begin immediately once your API key is delivered to your registered email, and therefore, you waive any statutory withdrawal rights (including the 14-day withdrawal period) at signup.

Trial access or promotional discounts may be offered under specific conditions stated on the Website. Once a trial ends, the standard subscription rates automatically apply unless canceled beforehand.

Termination and Survival

Fin2Dev may, at its sole discretion, suspend or terminate your access to the Services in case of a breach of this Agreement or misuse of the Services.

Upon termination, you must promptly delete all data, cached information, and cease any further use of the Services.

The following provisions remain enforceable even after termination: payment obligations, license restrictions, intellectual property rights, disclaimers, and limitations of liability.

Intellectual Property

All trademarks, software, APIs, datasets, and related documentation are the exclusive property of Fin2Dev. No ownership rights are transferred under this Agreement.

You agree not to challenge or infringe Fin2Dev’s intellectual property rights during or after the validity of this Agreement.

Indemnification

You agree to indemnify, defend, and hold harmless Fin2Dev, its affiliates, partners, and employees from any claims, damages, liabilities, expenses, or losses (including reasonable attorneys’ fees) resulting from:

  • Your use, or your end-users’ use, of the Services;
  • Your violation of this Agreement;
  • Any breach of applicable laws or third-party rights connected to your integration or use of the data.

Force Majeure

Fin2Dev shall not be held liable for any delays, failures, or service disruptions resulting from circumstances beyond its reasonable control. This includes, but is not limited to: internet or hosting provider issues, third-party service outages, labor disputes, cyberattacks, natural disasters, or other force majeure events.

Miscellaneous

  • This Agreement is governed by and construed in accordance with the laws of Bulgaria. All disputes shall be resolved exclusively by the competent courts of Bulgaria.
  • You must treat as confidential any non-public information received from Fin2Dev and may use it only for purposes directly related to this Agreement. Confidentiality obligations shall survive termination.
  • If any provision of this Agreement is found invalid or unenforceable, it will be modified to the minimum extent necessary to remain valid, and the rest of the Agreement will continue in full effect.
  • Fin2Dev may update these terms at any time. Continued use of the Services after such updates constitutes your acceptance of the revised Agreement.
